The exclusive venue for any arbitration or court proceeding arising out of this Agreement shall be Hunterdon County, New Jersey (or another county within the State of New Jersey as appropriate).

The parties agree to first attempt to resolve any disputes through good faith mediation before pursuing any other legal or equitable remedies.
